Hulisa Referral Partner Programme — Terms and Conditions

Effective Date: Upon submission of this registration form.

This Agreement is entered into between Hulisa (Pty) Ltd ("Hulisa") and the individual or entity registering as a Referral Partner ("Partner").

1. Programme Overview

The Hulisa Referral Partner Programme allows Partners to refer businesses to Hulisa's growth services. Partners earn a referral commission of R500 – R1,500 per qualified referral once the referred client completes their first monthly payment.

2. Eligibility

Partners must be 18 years or older and legally authorised to enter into contracts. Partners may not be current employees or contractors of Hulisa.

3. Referral Qualification

A referral is considered qualified when: (a) the referred business has had no active engagement, proposal, or discussion with Hulisa in the preceding 12 months; (b) the referred business signs an agreement with Hulisa; and (c) the referred business completes their first payment. Hulisa will determine qualification acting reasonably and in good faith, based on the criteria set out in this clause.

4. Commission Payment

R500 – R1,500 per qualified referral, calculated according to contract value tier as set out in Annexure A below. Commission will be processed within 30 days of the referred client's first payment via EFT to banking details provided by the Partner. Hulisa is not liable for delays due to incorrect banking details.

Annexure A — Commission Tiers (based on value of client's first payment only):

Tier 3	R20,001 and above	R1,500

5. Partner Conduct

Partners must represent Hulisa professionally and honestly. Partners may not make promises or commitments on behalf of Hulisa. Partners may not engage in misleading, deceptive, or high-pressure sales tactics. Violation of this clause may result in immediate termination and forfeiture of pending commission.

6. Intellectual Property

Partners may use Hulisa branding materials solely for the purpose of promoting Hulisa services. No modification of Hulisa's brand assets is permitted without written approval.

7. POPIA Compliance

All personal information collected and shared as part of this programme will be handled in accordance with the Protection of Personal Information Act (POPIA). Partners consent to Hulisa processing their personal information for the purpose of administering this programme. Personal information will be retained only for as long as necessary to administer the programme and will be processed in accordance with Hulisa's Privacy Policy.

8. Termination

Either party may terminate this agreement with 30 days written notice. Hulisa may terminate immediately for breach of these terms. Termination does not affect commission owed for referrals qualified prior to termination.

9. Governing Law

This Agreement is governed by the laws of the Republic of South Africa. Any disputes shall be resolved in the courts of South Africa.

10. Entire Agreement

This document constitutes the entire agreement between the parties with respect to the Partner Programme and supersedes all prior discussions. Hulisa reserves the right to update these terms with 30 days notice to the Partner.
